1. The service and the service provider
Sellora (sellora.fi) is an online service where users can sell and buy used and new goods from one another. The service is provided by VMH Group Oy (Business ID 2947305-5), Koivutie 1, 33960 Pirkkala, info@sellora.fi.
Sellora is an intermediary service. The deal is made between the buyer and the seller. Sellora is not a party to the deal, does not own, inspect or store the items for sale, and is not responsible for their condition, authenticity, safety or legality, or for the parties fulfilling their obligations. Sellora processes the payment and provides buyer protection in accordance with these terms.
2. User account
- Using the service requires registration. Users must be adults with legal capacity or act on behalf of a business.
- Users must provide accurate information, keep it up to date and keep their credentials secure. Users are responsible for actions taken with their account.
- Sellora may ask a user to verify their identity (Stripe Identity) and a seller to verify their details in order to receive payouts (Stripe Connect).
3. Listings and seller's responsibility
- Sellers are responsible for ensuring they have the right to sell the item and that the listing's details, photos, condition and price are accurate. Any defects and shortcomings of the item must be disclosed in the listing.
- Prohibited items include weapons and ammunition, narcotics, medicines, alcohol and tobacco products, counterfeits and items infringing copyright, stolen property, animals, and anything whose sale is prohibited by law or requires a licence.
- Anyone selling as a trader is responsible for their obligations under the Consumer Protection Act, such as the 14-day right of withdrawal in distance selling and liability for defects. Business sellers are marked on the listing.
- Contact details may not be shared in listings or messages, and you may not direct others to pay outside the service. Sellora automatically removes contact details before a deal has been paid.
- Sellora may remove or hide a listing that violates these terms, the law or good practice.
4. Terms of sale and buyer protection
- Formation of the deal. A deal is made when the buyer pays for the order on Sellora. A deal based on an offer is made when an offer accepted by the seller is paid within its validity period. An unpaid order lapses when the payment period ends.
- Payment and buyer protection fee. The buyer pays the item price, any postage and the buyer protection fee (5 % tuotteen hinnasta + 0,70 €). The buyer protection fee is included in the price shown to the buyer, includes VAT, and is sold by VMH Group Oy. Sellers are not charged any fees. Payments are processed by Stripe (Stripe Payments Europe Ltd).
- Holding the payment. Sellora holds the buyer's payment until the buyer confirms receipt of the item. If the buyer neither confirms nor makes a complaint, the deal is confirmed automatically 7 days after shipping (shipping) or 2 days after handover (pickup). Once confirmed, the item price and postage are paid out to the seller.
- Delivery. The seller must ship or hand over the item 7 days of payment and mark it as shipped or handed over in Sellora. Otherwise the order is cancelled and the buyer is refunded in full. The seller is responsible for packing the item properly, and the risk for a shipped item passes to the buyer once the item has been delivered to the buyer. Using a tracking code is recommended.
- Pickup. Pickup is arranged via messages. The buyer should inspect the item at pickup. By confirming receipt of the item, the buyer confirms that it matches the description.
- Complaints. If the item does not arrive or differs materially from the listing (e.g. broken, wrong item, concealed defect), the buyer can file a complaint before confirming receipt and before automatic confirmation. The payout to the seller is held for the duration of the complaint. The parties must first try to settle the matter via messages. If no agreement is reached, Sellora may decide whether the payment is paid out to the seller or refunded to the buyer; the decision does not prevent the parties from using other legal remedies against each other. Sellora may require the item to be returned to the seller before a refund.
- Cancellation. The buyer can cancel an unpaid order. A paid order can be cancelled by the seller before shipping, in which case the buyer is refunded in full. In consumer-to-consumer sales the buyer has no statutory right of withdrawal; a consumer buying from a business seller has a right of withdrawal in distance selling under the Consumer Protection Act.
- Not covered by protection deals where all or part of the payment was made outside Sellora, as well as the buyer changing their mind and features consistent with the item description.
- Taxes and reporting (DAC7). Sellers are responsible for declaring and paying tax on their own income and any VAT. Sellora is required to collect identification details from sellers and report annually to the Finnish Tax Administration the amounts paid out to sellers who have at least 30 sales or at least 2,000 € in sales income per year.
4 a. Arrange the deal yourself listings
- What they are. Where Sellora permits, sellers may publish a limited number of listings in which the deal is arranged directly between the seller and the buyer without Sellora's payment processing. These listings are marked "Arrange the deal with the seller".
- No buyer protection. Section 4 terms of sale, payment holding, the complaint procedure and buyer protection do not apply to these deals. Sellora is not a party to the deal and is not responsible for payment, delivery or the item's properties. No buyer protection fee is charged to the buyer.
- Seller verification. Publishing an Arrange the deal yourself listing requires the seller to verify their identity with Stripe Identity. A one-time fee is charged for verification; it is shown before payment and includes VAT. The fee is non-refundable once verification has started; a failed verification can be retried without a new fee. A seller paying as a consumer agrees that the service is provided immediately and that the right of withdrawal ends when the service begins.
- Price and quantity limits. A cap may be set on the price of an item sold in an Arrange the deal yourself listing and on the number of the seller's simultaneous listings. A new user account can publish one such listing during its first 24 hours.
- Reports. If several users report a listing, it is hidden automatically for moderator review. Sellora may remove the listing or close the account if fraud is suspected.
- Communication. Communication takes place via Sellora messages. If the seller chooses, their phone number is shown in the listing to logged-in users at the press of a button. The phone number may only be used for contact regarding that deal.
- Restrictions. Sellora may limit the number of listings per seller, change the feature or discontinue it, in which case published Arrange the deal yourself listings will be hidden. The seller may at any time enable Secure payment and make the listing purchasable through Sellora.
4 b. Paid add-on services
- Visibility. Sellers can buy a one-off bump to the top of the newest for their listing (the listing then drops below newer listings as normal), a 7-day highlight or 7 days of front-page visibility. Prices are shown before purchase and include VAT. The service starts immediately after payment, and the fee is not refunded if the listing is sold, removed or hidden before the visibility period ends. A seller buying as a consumer agrees that the service is provided immediately and that the right of withdrawal ends when the service begins.
- Sellora Pro. The monthly subscription includes monthly visibility credits, an automatic weekly bump of your listings, a shop page and a Pro business badge. The subscription is charged monthly in advance and continues until cancelled; cancellation takes effect at the end of the current period. Unused credits do not carry over to the next period and are not refunded. Sellora may change the price by giving at least 30 days' notice.
- Visibility does not guarantee a sale. Sellora may remove a listing that breaches the terms even during paid visibility, without a refund.
4 c. Purchases on the seller's own website
A seller may show their listings on their own website (e.g. with the WordPress plugin) and, if the feature is enabled on the seller's account, the buyer can buy the item directly on the seller's site. Even then, the purchase is made through the Sellora service and these terms apply: the payment is processed through Sellora, buyer protection applies and the payout is made as in other purchases. The seller's website is not a party to the purchase, and Sellora is not responsible for the other content of the site.
The buyer can buy without registering separately. A Sellora account is created with the email address the buyer provides and the order is linked to it; the buyer can sign in to the account with a sign-in link sent by email. The buyer accepts these terms when buying.
5. Users' obligations
- Communication and payments must go through Sellora. Bypassing the service for payments is prohibited.
- The service must not be used for misleading others, fraud, harassment, spam, automated data collection or any other unlawful purpose.
- Reviews must be based on an actual deal and be appropriate.
6. Limitation of liability and indemnification
Sellora provides the service "as is" and gives no warranty of any kind regarding the service, listings, users or items.
To the extent permitted by law, Sellora is not liable for any damage arising from the use of the service or the inability to use it, including:
- the condition, authenticity, safety, legality or defects of items, or their loss or damage in transit
- personal injury, property damage or financial loss related to a deal, a pickup or users' actions
- incorrect information provided by users, breaches of contract, cancellations or insolvency
- payments between the parties that do not go through Sellora
- the operation of the payment service (Stripe), carriers, the identity verification service, email or any other third-party service
- service interruptions, errors, data loss and indirect damages such as loss of income
Sellora's liability is limited to no more than the amount paid through Sellora in connection with the deal in question. If liability cannot be limited in this way due to mandatory law, the limitation applies to the extent permitted by law. The limitations do not apply to damage caused intentionally or through gross negligence, and do not restrict a consumer's rights under mandatory law.
User's liability for damages. Users are responsible for their own actions, listings and deals and agree to indemnify Sellora and hold Sellora harmless from all claims, damages, costs and expenses (including reasonable legal fees) arising from the user's listing, a deal, a breach of these terms or the law, or a third-party claim based on the user's actions.
Claims regarding the item or the deal must be made to the other party of the deal. A claim against Sellora must be made in writing within six months of when the grounds for the claim were discovered or should have been discovered.
7. Closing your account
Users can stop using the service by contacting info@sellora.fi. Sellora may close an account if the user breaches these terms or the law, repeatedly fails to deliver orders, or their actions endanger the safety of other users. Pending deals are handled in accordance with the terms.
8. Personal data
Personal data is processed privacy policy in accordance with it.
9. Changes to the terms and governing law
Sellora may change the terms. Users will be notified of material changes at least 14 days in advance by email or in the service. A deal is governed by the terms in force at the time of purchase. These terms are governed by Finnish law. Consumers may refer a dispute to the Consumer Disputes Board.
